Terms & Conditions of Participation
General:
These Conditions of Participation (“Conditions”), govern an exhibitor’s participation in Felix Los Angeles 2026, an art fair operated by Felix Art Partners LLC ("Felix"). By submitting an application for Felix Los Angeles 2026, you agree to be bound by these Conditions. Felix reserves the right to, at any time, issue other conditions, rules and regulations of participation.
Show Dates:
Felix Los Angeles will take place February 2026. Exact dates are forthcoming – we guarantee alignment with LA Art Week and its accompanying art fairs as per usual.
Admission to Exhibition:
Felix shall be the sole and final judge of all applications and may accept or reject applications in its sole discretion. The quality of the proposal and the gallery’s program, history and business practices are all taken into consideration when considering fair applications. The exhibitor guarantees that all information in the application is accurate and that all work submitted for exhibition is authentic. Admission will be confirmed in writing mid-August 2025. Felix reserves the right to cancel any application that is accepted on the basis of false information or if the exhibitor fails to comply with these conditions, and the exhibitor will remain liable for the full booth rental and any additional charges incurred by Felix. Felix reserves the right to expel from the fair any exhibitor who violates the rules stated herein. In such event, the exhibitor will remain liable for the full amount of booth rental and any additional charges incurred. Exhibitors must use the booth for the duration of the fair and keep the booth sufficiently manned at all times during exhibition hours. Felix has the right to require complete details of a proposed exhibit and reserves the right to prohibit the exhibition of any object which does not meet the requirements or may expose Felix to potential liability. The removal of such objects, if necessary, will be at the sole risk and expense of the exhibitor.
Allocation of Space:
Booth space and booth location at the fair will be allocated and determined by Felix at Felix’s discretion. Felix reserves the right to alter, or activate, all common areas within the hotel property as it pertains to the fair – including entrances and exit points to and from the exhibition spaces.
Booth Sharing:
No exhibitor, other than the exhibitor specified in the application, may be presented in the booth. No exhibitor may sublet its booth either entirely or partially.
Conditions of Payment:
After acceptance, exhibitors will be required to pay a $3,500 participation deposit and complete a credit card authorization form no later than September 12, 2025. The balance of booth fees will be due by December 12, 2025. All payments are non-refundable unless Felix otherwise agrees at its discretion. Any exhibitor whose booth has not been paid in full by, or at, exhibitor check-in will not be permitted to enter their booth. In such event, Felix may cancel the exhibitor’s contract, reallocate the space, and retain any payments made without any further liability or obligation to the exhibitor.
Withdrawal from Exhibitor Contract:
Any exhibitor that has not occupied its space by 8pm on the day of exhibitor check-in, will forfeit that space and Felix will claim full rights to that space and retain any payments made without any further liability or obligation to the exhibitor.
Felix Los Angeles Cancellation Policy:
By submitting an application to exhibit at the fair, an applicant irrevocably agrees to participate if its application is accepted by Felix. We expect to notify applicants whether they have been accepted to the fair as an Exhibitor before August 31, 2025. Applicants may withdraw their application without penalty if they do so in writing prior to receiving such notice. Once accepted to the fair, Exhibitor cancellations are subject to a cancellation fee. Post-notice cancellations received prior to October 1, 2025, will be subject to forfeit of 50% of the booth fee. Any cancellation on or after October 2, 2025, will be subject to forfeit of 100% of the booth fee.
Rights of Termination/Force Majeure:
Felix may terminate this Agreement without liability if Felix’s performance hereunder becomes illegal or impossible, or the purpose of this Agreement would be compromised, upon written notice to exhibitor, in the event of acts of God, war, government regulation, terrorism, disaster, strikes, civil disorder, curtailment of transportation facilities, pandemic (including Covid-19 or variant thereof) or equivalent public health emergency, or any other emergency of a comparable nature beyond Felix’s control.
Indemnification:
The exhibitor will indemnify Felix, and hold Felix harmless, for and from any and all loss or damage incurred by Felix that is a result of any breach of these Conditions and from and against any claim whatsoever for injury, loss or damage resulting from any act or omission of the exhibitor or its employees, agents, representatives, or subcontractors. Felix shall be entitled to recover from exhibitor Felix’s expenses, including attorney’s fees, to enforce these Conditions.
Insurance Requirements:
Each exhibitor must provide Felix with a Certificate of Insurance (COI) that serves as proof of General Liability Insurance. You can obtain this document from your insurance broker. Specific insurance requirements will be shared upon acceptance to the fair.
General:
Notwithstanding any conflict of law provisions, the laws of the State of California shall be applicable to these Conditions and all matters arising from exhibitor’s participation in Felix Los Angeles. Exhibitor agrees to the exclusive jurisdiction and venue of the state and federal courts in the County of Los Angeles for any legal proceedings related thereto. Additional Operational Conditions will be communicated upon acceptance to the fair.
